CERTIFICATE OF INCORPORATION


This is to certify that at a stated meeting of the Diocesan Convention of the Protestant Episcopal Church in the Diocese of New York, held on the 27th day of September, 1877, the following named persons were duly elected by a plurality of voices, as Trustees to take charge of the estate and property belonging thereto, and to transact all affairs relating to the temporalities thereof, in pursuance of the Act of the Legislature of the State of New York, passed April 11th, 1876, known as Chapter 110, namely: Horatio Potter, Morgan Dix, E. A. Washburn, John J, Cisco, J. Pierpont Morgan, Henry Lewis Morris, Cornelius Vanderbilt, William Alexander Smith and James M. Brown, and that the name or title by which said trustees and their successors shall be known was duly determined by said Convention, and shall be "The Trustees of the Estate and Property of the Diocesan Convention of New York."
In witness whereof, and for the purpose of incorporating said Trustees in pursuance of said Act of the Legislature, the undersigned being the presiding officer and clerk of said convention, make this certificate under their hands and seals, this 27th day of September, 1877.

On this 29th day of September, 1877, before me came Horatio Potter, to me known to be the Bishop of the Protestant Episcopal Church in the Diocese of New York, and Presiding Officer of the Diocesan Convention in the above certificate mentioned, and also William E. Eigenbrodt, to me known to be the Clerk of said Convention, and both known to me to be the same persons described in and who executed the above certificate and severally acknowledged to me that they severally subscribed and sealed said certificate as such presiding officer and clerk of said Convention.
